Terms & Conditions
These Terms and Conditions govern the business advisory services provided by MV Business Partner Limited ("MV Business Partner", "we", "us") to clients who engage with our services through our website, Acuity Scheduling, Zoom, or email. By booking a session or engaging our services, you confirm that you have read, understood, and agree to be bound by these terms. Please read them carefully before proceeding.
1. Scope of Services
MV Business Partner provides general business advisory and consulting services to small business owners. Our services include business analysis, advisory sessions, financial diagnostics, and business strategy guidance.

Our services are general business advisory in nature and do not constitute regulated financial advice under the Financial Markets Conduct Act 2013.

We do not make recommendations regarding financial products, investments, KiwiSaver, insurance, or any other regulated financial instrument.

All business decisions remain the sole responsibility of the client. MV Business Partner is not liable for the outcome of any decision made based on our advisory sessions.

If you require regulated financial advice, we recommend you seek the services of a licenced financial adviser.
2. Limitation of Liability
To the maximum extent permitted by New Zealand law:

MV Business Partner's total liability to you for any claim arising from our services is limited to the total fees paid by you for the specific session or service that gave rise to the claim.

We are not liable for any indirect, consequential, incidental, special, or economic loss, including but not limited to loss of profit, revenue, business opportunity, or anticipated savings.

Nothing in these terms limits or excludes any guarantees, warranties, or rights that cannot lawfully be excluded under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

Our services are directed at business owners and individuals in the process of establishing a business. Where you are acquiring services for the purposes of a business, or in connection with establishing a business, you agree that the Consumer Guarantees Act 1993 does not apply to the extent permitted by section 43 of that Act.
3. Cancellation and Rescheduling Policy
We reserve exclusive time for each client engagement, which includes preparation, analysis, and session delivery. As such, the following policy applies:

A minimum of 48 hours' notice is required to cancel or reschedule any booked session.

Cancellations or reschedule requests made within 48 hours of the scheduled appointment will not be refunded. The full session fee will be forfeited.

If you wish to rebook following a late cancellation, full payment is required again at the time of the new booking.

Cancellations must be submitted by email to contact@mvbusinesspartner.co.nz. We do not accept cancellations via social media or informal message.
4. Payment Terms

All fees are quoted and charged in New Zealand Dollars (NZD).

Applicable Goods and Services Tax (GST) will be added to all fees where required by New Zealand law.

Payment is due in full before or at the time of the session, unless otherwise agreed in writing.

MV Business Partner reserves the right to withhold or cancel services where payment has not been received by the agreed date.
5. Intellectual Property

All frameworks, methodologies, templates, reports, and materials created or provided by MV Business Partner remain the intellectual property of MV Business Partner Limited.

Upon payment, you receive a non-exclusive, non-transferable licence to use these materials for your own internal business purposes only.

You may not reproduce, share, resell, or otherwise distribute our materials without prior written consent from MV Business Partner.
6. Confidentiality

MV Business Partner will treat all business information shared by the client as confidential and will not disclose it to third parties without your consent, except where required by law.

Sessions may be recorded using AI-powered note-taking tools for the sole purpose of producing session summaries and follow-up documentation. Your consent will be verbally confirmed at the start of each session. If you do not consent, recording will not take place.

If you do not wish for a session to be recorded, please notify us before the session begins and we will accommodate your preference.
7. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of New Zealand, including the Contract and Commercial Law Act 2017, the Fair Trading Act 1986, and the Consumer Guarantees Act 1993 (where applicable).

Any dispute arising in connection with these terms or our services will be subject to the exclusive jurisdiction of the courts of New Zealand.

We encourage clients to contact us directly in the first instance to resolve any concerns before escalating to formal proceedings.
8. Amendments to These Terms

MV Business Partner reserves the right to update or amend these Terms and Conditions at any time without prior notice.

The most current version of these terms will always be available on our website.

Continued use of our services after any amendment constitutes your acceptance of the updated terms.
4. Refund Policy

We are committed to delivering high-quality business advisory services. The following refund terms apply to all sessions and services booked with MV Business Partner:

Sessions cancelled with more than 48 hours' notice will receive a full refund to the original payment method within 5–10 business days.

Sessions cancelled within 48 hours of the scheduled appointment, or where the client does not attend without prior notice, are not eligible for a refund. Please refer to Section 3 for our full cancellation policy.

Once a session has been delivered, fees are non-refundable, as the service has been provided in full.

A full or partial refund may be issued at our discretion in the following exceptional circumstances: a session could not be completed due to a technical failure on our side, MV Business Partner cancelled the session without reasonable notice, or the service delivered was materially different from what was agreed. In these cases, please contact us within 5 business days of the session and we will review your request.

Refund requests must be submitted by email to contact@mvbusinesspartner.co.nz. We will respond within 5 business days of receiving your request.
